These Terms and Conditions ("Terms") govern your access to and use of the Mindbanger website, products, services, digital content, subscriptions, community features, affiliate features, and related functionality (collectively, the "Service").

By accessing or using Mindbanger, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

  1. The Service may be used only by individuals who are at least 16 years old.
  2. Purchases, paid subscriptions, paid upgrades, and participation in the affiliate payout program are permitted only for individuals who are at least 18 years old and legally capable of entering into binding contracts.
  3. If you are between 16 and 17 years old, you may use only the free or otherwise permitted non-purchase parts of the Service unless a purchase is made lawfully by a parent or legal guardian where applicable.
  4. We may suspend or terminate accounts that violate this section.

2. Nature of the Service

  1. Mindbanger provides digital products, digital content, mindset-setting materials, daily signals, subscription-based content, educational and informational materials, and related online services.
  2. Mindbanger may offer both:
    • one-time digital products; and
    • automatically renewing subscription services.
  3. Unless explicitly stated otherwise, Mindbanger content is provided for informational, educational, motivational, self-development, and wellbeing-support purposes only.
  4. Mindbanger does not provide medical, psychiatric, psychological, legal, financial, or other regulated professional advice, diagnosis, or treatment.
  5. You are solely responsible for how you use the Service and for your own decisions, actions, and results.

3. Accounts

  1. You may need to create an account to access some features.
  2. You must provide accurate, current, and complete information and keep it updated.
  3. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  4. We may refuse registration, suspend accounts, or terminate accounts if we reasonably believe there is fraud, abuse, unlawful conduct, or a breach of these Terms.

4. Orders and Contract Formation

  1. By placing an order through the website, you submit an offer to purchase the selected product or subscription.
  2. A binding contract is formed when we confirm your order and/or when digital content is made available to you.
  3. We reserve the right to reject or cancel any order in cases including pricing errors, suspected fraud, payment failure, abuse, legal restrictions, sanctions compliance, or suspected breach of these Terms.
  4. You agree that electronic contract formation, records, and communications are valid and binding.

5. Prices, Taxes, and Payment

  1. Unless expressly stated otherwise, all listed prices are shown without VAT / sales tax.
  2. Where required by applicable law, the final amount payable, including any applicable taxes, will be shown at checkout before you complete your order.
  3. Payments are processed through third-party payment providers, including Stripe or other processors we may use from time to time.
  4. You authorize us and our payment providers to charge the selected payment method for all due amounts, including recurring subscription fees where applicable.
  5. You are responsible for any bank fees, currency conversion charges, transfer charges, or similar costs charged by your payment provider.

6. Subscriptions and Automatic Renewal

  1. Some Mindbanger services are offered on a recurring subscription basis.
  2. By purchasing a subscription, you authorize recurring charges at the selected billing interval until cancellation.
  3. Subscriptions renew automatically unless cancelled before the next billing date.
  4. You may cancel your subscription at any time in your account settings on mindbanger.com.
  5. Cancellation stops future renewals. Unless required by law, cancellation does not retroactively refund already billed subscription periods.
  6. We may change subscription fees from time to time. Any material pricing change will apply prospectively and will be communicated in advance where required.

7. Digital Content, Immediate Access, and Withdrawal Rights

  1. Mindbanger products and subscriptions primarily involve digital content and digitally delivered services.
  2. If you are a consumer and digital content is made available immediately after purchase, you expressly request immediate performance and acknowledge that, once performance begins, you may lose any statutory right of withdrawal to the extent permitted by applicable law.
  3. Where applicable law grants a withdrawal right, that right is subject to statutory exceptions, including exceptions for digital content not supplied on a tangible medium once supply has begun with your prior express consent and acknowledgment.
  4. If a refund or withdrawal is legally required, we will process it in accordance with applicable law.
  5. Except where mandatory law provides otherwise, all sales of immediately accessed digital content are final.

8. Refunds and Complaints

  1. Because Mindbanger primarily supplies digital content with immediate access, refunds are generally not available once access has been granted, except where required by mandatory law or where expressly stated otherwise.
  2. Subscription cancellations stop future billing but do not automatically entitle you to a refund for the already started billing period unless required by law.
  3. Complaints, support requests, and billing inquiries may be sent to support@mindbanger.com.
  4. We may review refund requests individually as a goodwill gesture, but we are not obligated to grant refunds except where required by law.

9. Acceptable Use

You agree not to:

  1. use the Service unlawfully or in violation of applicable regulations;
  2. infringe intellectual property, privacy, publicity, or other rights of others;
  3. upload, transmit, or distribute harmful code, malware, or malicious content;
  4. reverse engineer, scrape, copy, frame, mirror, or exploit the Service except as allowed by law or expressly permitted by us;
  5. interfere with security, integrity, performance, or availability of the Service;
  6. use automated systems to access or abuse the Service without authorization;
  7. misrepresent your identity, affiliation, or authority;
  8. use the Service to harass, manipulate, deceive, spam, or exploit others.

10. Intellectual Property

  1. The Service and all content made available through it, including text, graphics, branding, audio, video, workflows, databases, software, designs, and other materials, are owned by Mindbanger, Genomic Fashion s.r.o., or its licensors and are protected by intellectual property laws.
  2. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business use in accordance with these Terms.
  3. You may not reproduce, resell, redistribute, sublicense, publish, publicly display, modify, or create derivative works from the Service or content unless expressly permitted in writing.
  4. All trademarks, logos, and service marks are the property of their respective owners.

11. User Content

  1. If you upload, post, submit, or otherwise provide any content to the Service ("User Content"), you represent that you have the necessary rights to do so.
  2. You retain your rights in User Content, but you grant us a worldwide, non-exclusive, royalty-free license to host, reproduce, process, display, and use such User Content as needed to operate, improve, secure, and provide the Service.
  3. We may remove User Content that violates these Terms, applicable law, or the rights of others.

12. Affiliate Features

  1. Registered users may receive access to affiliate links and related promotional tools subject to the Affiliate Terms.
  2. Affiliate participation, commissions, credits, and payouts are governed by the separate Affiliate Terms, which form part of these Terms by reference.
  3. Affiliate cash payouts are available only to eligible users aged 18 or older who provide all required tax, identity, and payout information.

13. Third-Party Services

  1. The Service may integrate with or rely on third-party services, including but not limited to payment processors, analytics providers, authentication providers, hosting providers, communication providers, and social login providers.
  2. We are not responsible for third-party services, their availability, their security, or their separate terms and policies.
  3. Your use of third-party services may be subject to separate agreements with those providers.

14. Availability and Changes

  1. We may modify, update, suspend, discontinue, or restrict any part of the Service at any time.
  2. We do not guarantee uninterrupted availability, error-free operation, or permanent availability of any content, product, feature, or subscription tier.
  3. We may perform maintenance, upgrades, security changes, or business changes without liability, subject to mandatory law.

15. Health and Wellbeing Disclaimer

  1. Mindbanger content may include mindset, relaxation, self-development, coaching-style, audio, or suggestive material.
  2. Such content is not medical care, mental health treatment, emergency support, diagnosis, psychotherapy, or a substitute for professional healthcare.
  3. If you have a medical, psychiatric, neurological, or psychological condition, or if you are in crisis, you should seek qualified professional help and use the Service only where appropriate.
  4. Do not use the Service while driving, operating machinery, or in situations requiring full attention if any content may affect focus or relaxation.

16. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, or results.

17. Limitation of Liability

  1. To the maximum extent permitted by law, Mindbanger, Genomic Fashion s.r.o., and their directors, officers, employees, contractors, affiliates, and licensors shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of data, loss of goodwill, business interruption, or similar losses.
  2. To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service shall not exceed the total amount paid by you to us during the 12 months preceding the event giving rise to the claim.
  3. Nothing in these Terms excludes or limits liability that cannot be excluded under mandatory law, including certain consumer rights.

18. Indemnity

You agree to defend, indemnify, and hold harmless Mindbanger, Genomic Fashion s.r.o., and their affiliates, officers, directors, employees, and contractors from and against claims, damages, losses, liabilities, costs, and expenses arising out of your misuse of the Service, your breach of these Terms, your User Content, or your violation of law or third-party rights.

19. Termination

  1. You may stop using the Service at any time.
  2. We may suspend or terminate access immediately if we reasonably believe you breached these Terms, acted fraudulently, caused risk, or if required for legal, security, sanctions, AML/KYC, or operational reasons.
  3. Upon termination, rights granted to you under these Terms cease, but provisions that by nature should survive termination will survive.

20. Governing Law and Dispute Resolution

  1. These Terms are governed by the laws of the Slovak Republic, excluding conflict-of-laws rules.
  2. If you are a consumer, you also retain the protection of mandatory consumer laws of your country of habitual residence to the extent applicable.
  3. For non-consumer disputes, the courts of the Slovak Republic shall have jurisdiction unless mandatory law requires otherwise.
  4. Consumers in the EU may also have access to alternative dispute resolution or other statutory remedies available under applicable law.

21. Changes to These Terms

  1. We may update these Terms from time to time.
  2. The latest version will be published on the website with the effective date.
  3. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms, except where additional consent is required by law.
